Coordinate administrative functions for Board and Committee meetings, including drafting agendas, minutes, consents, and resolutions, ensuring compliance with charters and policies. Prepare stockholder meeting materials, coordinating with the Transfer Agent. Maintain minute books and other critical corporate records.
Assist in the preparation of SEC filings, including periodic and current reports, proxy statements, Section 16 filings and confidential treatment requests in collaboration with internal and external accounting and legal teams.

Manage the full lifecycle of domestic and international subsidiaries, including entity formations, dissolutions, foreign qualifications, and franchise tax filings.
Centralize global subsidiary management and corporate compliance through coordination with registered agents and outside counsel.
Assist with the administration of the Company’s insider trading compliance program, including training, preclearance procedures, 10b5-1 trading plans and trading blackouts.
Support Sarbanes-Oxley (SOX) compliance through related-party monitoring and audit request processing.
Support financing and business development through virtual data room (VDR) setup and management, including folder structure, permissions, and diligence tracking.
Liaise with HR and Finance business partners on NDAs, non-compete agreements, employment separation agreements, indemnification agreements, and equity award tracking.
Build and maintain strong working relationships with outside counsel and other third-party vendors.
Complete ad-hoc and special projects as requested/required. Skills and experience you’ll bring: 8+ years of experience as a corporate/securities paralegal or legal project manager, ideally within a public biopharmaceutical or life sciences company.
Hands-on experience with SEC reporting and filings (Form 3/4, 10-K, 8-K, S-8, proxy statements).
Experience administering insider trading compliance programs, 10b5-1 plans, and Sarbanes-Oxley (SOX) controls.
Experience supporting financing transactions, including virtual data room management and due diligence coordination.
Familiarity with IP docketing and patent formalities.
Excellent organizational skills and discretion handling confidential corporate, legal, and securities information. Equal Employment Opportunity

Compensation Kymera offers a competitive compensation package that recognizes both results and capabilities through market-based, performance-driven pay.
The anticipated base salary range for this role is $160,000 – $240,000, with eligibility for annual bonus, equity participation, and comprehensive benefits.
Actual salary is based on a holistic evaluation of the specific role/level as well as each candidate’s depth of experience and the capabilities they bring to the position.
